     This Registration Statement on Form S-8 is filed with the Securities and Exchange Commission (the "SEC") by Matrix Service Company, a Delaware corporation (the "Company"), relating to the registration of 1,000,000 shares (the "Shares") of the Company's common stock, par value $0.01 per share ("Common Stock"), to be offered under the Matrix Service Company 2012 Stock and Incentive Compensation Plan, as amended (the "2012 Plan"). The Shares are being registered in addition to the 1,300,000 shares of Common Stock previously registered for issuance under the Company's Registration Statement on Form S-8 concerning the 2012 Plan filed with the SEC on November 16, 2012 (File No. 333-184982) (the "2012 Registration Statement").
